“User” / “You” / “Client” — Any person or entity creating an account, accessing our website, or purchasing our services.

“Services” — All offerings provided by ScriptGenius™, including but not limited to
Script To Scale™, Script To Convert™, ScriptGenius Core™, and any other proprietary frameworks, products, or consulting.

“Deliverables” — Any creative work, copywriting, designs, strategy documents, frameworks, or materials provided to you by ScriptGenius™.

2. Intellectual Property Rights

All content, frameworks, methodologies, and deliverables provided by ScriptGenius™ — including ScriptGenius Core™, Script To Scale™, and all related systems — are proprietary intellectual property owned by Louis Valentine.

No Copying or Reproduction — You may not reproduce, distribute, publish, reverse-engineer, adapt, license, sublicense, or exploit any Deliverable, system, or content for commercial or competitive purposes without our express written consent.

License to Use Deliverables — Upon payment in full, you receive a non-exclusive, non-transferable license to use the Deliverables for the agreed project scope only. This license does not grant you ownership or the right to resell, license, or reproduce the Deliverables.

Violation Consequences — Any unauthorized use of our IP will result in immediate termination of your license, possible legal action, and liability for damages.

3. Account Creation & Access

All Users must create an account and agree to these Terms & our Privacy Policy before accessing gated content or submitting service applications.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Confidentiality

All Deliverables, strategy documents, and communications between you and ScriptGenius™ are considered confidential. You agree not to disclose, share, or publish any part of these materials without our written consent.

5. Payments & Refund Policy

All payments must be made in accordance with the proposal or service agreement.
Due to the custom and proprietary nature of our work, all sales are final and non-refundable.

6. Prohibited Activities

You may not:
Use our website or services for illegal or unethical purposes.
Attempt to gain unauthorized access to our systems or client data.
Copy, scrape, or otherwise extract any content, designs, or methodologies from our website or deliverables for competitive use.

7. Termination

We reserve the right to suspend or terminate your account or service access at any time, without refund, for breach of these Terms or misuse of our IP.

8. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware, USA, and applicable international IP treaties. Any disputes will be resolved exclusively in the courts of Delaware, unless otherwise agreed in writing.

9. Amendments

We may update these Terms from time to time.
Your continued use of our services constitutes acceptance of the updated Terms.
